About the Team

You will be an integral member of the small and dynamic Legal Team, which is responsible for proactively assessing and managing all global legal issues for the Company. The Legal Team works closely with senior executives and decision-makers company-wide to provide legal counsel that furthers the Company's legal and business objectives and minimizes legal risk.

About the Role

The Associate General Counsel -- Corporate is responsible for providing a broad range of legal services to the Company, with the prime areas of focus being corporate governance and securities law matters. You will also provide legal counsel in other subject areas in connection with the Company's U.S. and international business. You will collaborate effectively across the Company, partnering closely with management, outside counsel, and internal clients across all brands and departments. While this position calls for a substantial amount of independence, the successful candidate will operate as part of a close-knit team of supportive, open, friendly lawyers, paralegals and other professionals.

* Responsible for public reporting, including Proxy Statements, 10-Ks, 10-Qs, 8-Ks, Forms 3, 4 and 5, and NYSE filings.
* Manage annual stockholder meeting process.
* Prepare Board of Director meeting materials and communications.
* Advise on compensation-related legal matters, including equity plan updates and executive compensation governance and disclosure.
* Provide guidance on corporate governance issues such as SOX compliance and corporate policies such as the insider trading policy, whistleblower policy, and records retention policy.
* Advise on mergers, acquisitions, divestitures and other strategic transactions.
* Review and draft commercial agreements.
* Manage and evaluate outside counsel resources.
* Maintain excellent working relationships with both business partners and legal team.
* Other duties as assigned.

We're excited about you because you have...

* A Juris Doctor degree from a top tier law school.
* Licensed and in good standing to practice law in at least one state (California preferred).
* At least 6 years of legal experience as a general corporate and securities lawyer with a top tier law firm. Experience in-house and within a consumer-focused business is preferred.
* Knowledge of public reporting, corporate governance issues and equity compensation issues.
* M&A and debt and equity fundraising experience preferred.
* Knowledge and prior experience in negotiating and drafting commercial agreements.
* Demonstrated ability to work creatively and cooperatively in a fast-paced environment.
* Superior organization and project management skills.
* Excellent interpersonal skills, strong self-awareness and honed diplomacy skills.
* Excellent written, verbal, and communication skills with an ability to listen actively and to communicate effectively throughout all levels of the organization.
* Strong business acumen with an ability to assess the implications of legal and regulatory requirements and provide guidance accordingly.
* An action-oriented individual who proactively partners with business leaders to collaborate and resolve challenges.
* High level of energy, enthusiasm and motivation to make the Company successful.
